What is being procured (scope and services)

The EUAA requires a supplier to provide Temporary Agency Workers for EUAA activities in Spain. Tenders scoring less than 60 percent overall or less than 50 percent on any single quality criterion will be rejected. Each quality criterion should be described in a maximum of 25 A4 pages of text including tables, with annexes not exceeding 50 pages total.

Special Conditions and Obligations

  • The contractor remains the employer of TAWs; no employment relationship exists between TAWs and the EUAA or national authorities
  • TAWs must comply with EUAA internal rules, code of conduct, and health and safety regulations
  • Contractor must ensure TAWs treat information confidentially and maintain confidentiality obligations indefinitely after contract termination
  • Criminal record certificates and work permits must be provided before employment contracts are signed
  • For specific assignments supporting Spanish national authorities, stricter requirements may apply including active security clearance or certificates from the Central Register of Sex Offenders
  • Contractor must immediately notify EUAA of any changes in applicable legal framework affecting contract implementation
  • Contractor must conduct yearly reviews and checks of TAWs
  • Contractor must immediately notify EUAA of any occupational accidents and report to competent Spanish labour authorities
  • No payment of salary by non-monetary means (tickets, coupons, vouchers) is permitted
  • EUAA may terminate any Order Form unilaterally and with immediate effect if contractor fails to comply with labour legislation, health and safety requirements, or EUAA rules
  • Contractor must sign a Data Processing Agreement and potentially a Data Sharing Agreement for personal data handling

Submission and Documentation Requirements

Tenders must be submitted exclusively via the electronic submission system (eSubmission) on the Funding and Tenders Portal. All economic operators must register in the Participant Register to obtain a Participant Identification Code (PIC). Tenders may be submitted in any official EU language.

  • Identification Form (SSF 1) with proof of legal capacity and authorization to represent the tenderer
  • Legal Entity Form with supporting documents (registration proof, VAT registration, etc.)
  • Financial Identification Form signed by authorized representative
  • Declaration on Honour on exclusion and selection criteria (SSF 6) with supporting evidence
  • Agreement/Power of Attorney for joint tenders (SSF 2)
  • List of identified subcontractors with commitment letters (SSF 3 and SSF 4)
  • Commitment letters from entities on whose capacity tenderer relies (SSF 5)
  • Technical tender (SSF 8) with compliance list and description of services addressing all quality award criteria
  • Financial tender (SSF 7) with hourly rates for each category and total cost calculations
  • Proof of average yearly turnover exceeding €2,000,000 for last three financial years
  • List of at least 3 similar contracts completed in last three years with client references
  • Declaration confirming availability of required temporary agency workers per category
  • CVs of contract manager and backup demonstrating required experience and English proficiency

Payment Terms and Conditions

Monthly interim payments are made based on services actually rendered, with invoices submitted via email to invoices@euaa.europa.eu. The EUAA must approve submitted documents and pay within 30 days from receipt of invoice. Payment of the balance is made within 60 days of the end of the service provision period. The EUAA may suspend payment periods if invoices do not comply with the contract, if appropriate documents or deliverables are not produced, or if the EUAA has observations on submitted documents.

Invoice Requirements:Invoices must include contractor identification data, amount, currency, date, FWC reference, Order Form reference, budgetary commitment number, detailed breakdown of costs per TAW per month, and signed timesheets as supporting documents. Invoices must specify VAT treatment and indicate the place of taxation.

Late Payment Interest:If payment periods expire, the contractor is entitled to interest at the European Central Bank's main refinancing rate plus 8 percentage points, calculated from the day following the due date until payment date. Interest of €200 or less is paid only upon request within two months of receiving late payment.

Contract Management and Implementation

The contractor must appoint a designated Contract Manager and backup who meet the minimum requirements (2+ years experience in TAW deployment and B2 English proficiency). The EUAA will send requests for TAW services via email specifying job title, qualifications, expected period, and number of workers required. The contractor must present at minimum 5 candidate CVs matching the requirements within agreed deadlines. The EUAA may conduct interviews and assess candidate suitability. If no candidates fit the profile, the contractor must provide additional CVs. The EUAA confirms its final choice of candidate(s) by confirming the name with reference to the FWC.

Once an Order Form is signed by both parties, the assignment begins within the specified period. A trial period applies to assess TAW suitability; the EUAA may request replacement or termination during this period. Performance assessments occur at regular intervals and ad hoc as needed. The EUAA may request TAW replacement for failure of trial period, poor performance, unprofessional behaviour, or behaviour inconsistent with EUAA values. Replacements involve no additional cost to the EUAA.

Termination and Liability

Either party may terminate the framework contract for convenience with 3 months written notice. Either party may terminate specific contracts with 1 month written notice. The EUAA may terminate the contract or specific contracts for material breach, failure to comply with labour legislation, health and safety violations, conflicts of interest, changes in contractor's legal or financial situation, force majeure, or other grounds specified in the contract. The contractor is liable for damage incurred by the EUAA due to termination, including costs of appointing another contractor, except where termination results from force majeure or change in EUAA needs.

Applicable Law and Dispute Resolution

The framework contract is governed by Union law, complemented where necessary by Spanish law. The application of the United Nations Convention on Contracts for the International Sales of Goods (CISG) is excluded. The courts of Madrid have exclusive jurisdiction over any dispute regarding the validity, interpretation, performance, or termination of the contract.

Additional Important Information

The framework contract does not impose any obligation on the EUAA to place orders. The exact needs cannot be foreseen at the time of launch. Actual orders will be placed through Order Forms as needed. Within three years following signature, the EUAA may use negotiated procedure to procure new services from the contractor up to a maximum of 50 percent of the initial framework contract ceiling for repetition of similar services, at EUAA's discretion subject to availability of funding and satisfactory performance.

The contractor is bound by the takeover of temporary agency workers currently providing services to the EUAA under Framework Contract EASO/2021/868, in accordance with mandatory provisions of Spanish law transposing Council Directive 2001/23/EC on safeguarding employees' rights in transfers of undertakings. Currently, the EUAA deploys 12 temporary agency workers in Spain (1 Category II, 10 Category III, 1 Category IV) expected to be taken over at contract beginning, provided limits of temporary work under Spanish law are not exceeded. Their current assignments end on 30 June 2026.

Tenderers must ensure no involved entities, subcontractors, or identified subcontractors are subject to EU restrictive measures. Participation is open on equal terms to all natural and legal persons from EU Member States and countries with special agreements with the EU. Participation is not open to natural and legal persons established in countries that have ratified the WTO Agreement on Government Procurement.
